Terms of Service

Last updated: 2026-10-28

These Terms of Service (the "Terms") govern your use of Caldyr. Caldyr is provided by [Legal entity name], [Registered address] ("Caldyr", "we", "us"). By creating an account, accepting an Order or using the Service you agree to these Terms for yourself and for the organisation you represent. If an Order or another written agreement signed by both parties conflicts with these Terms, that agreement prevails for the conflict.

Definitions

"Service" means the Caldyr control plane we host at app.caldyr.ai, the Caldyr agent that runs on hosts you enrol, the related websites and documentation, and, where your Order includes it, the Caldyr software you run on your own infrastructure ("self-hosted"). "Customer" or "you" means the organisation or person that accepts these Terms. "Users" means the people you allow to use the Service under your account. "Customer Data" means the data you or your Users submit to or process with the Service, including session records, secrets and notes. "Order" means an order form, quote or online sign-up that names your plan, term and fees. "Licence" means the licence Caldyr issues to you for the term of your Order, which sets your seats and features.

The Service

Caldyr is a control plane for running AI coding agents across your hosts: host enrolment, session recording and replay, an audit trail, budgets and access control. You connect your own model providers under your own API keys; traffic between your enrolled hosts and your model provider does not pass through us, and your model provider's own terms govern it. We may change and improve the Service, but we will not materially reduce the core functions of your plan during a paid term without telling you first.

Accounts and eligibility

You must be able to enter into a binding contract and must use the Service for business purposes. Give accurate sign-up information and keep it current. You are responsible for your Users and for everything that happens under your account, and for keeping passphrases, passkeys and API tokens safe. Keep your passphrase safe: the key for your personal note vault is derived from it on your device, and we cannot recover it for you. Tell us at team@caldyr.ai as soon as you suspect unauthorised use of your account.

Acceptable use

You will not, and will not let anyone else: use the Service to attack, probe or disrupt any system you are not authorised to test; store or process content that is unlawful or that you have no right to use; use the Service in breach of export-control or sanctions law; work around Licence limits, access controls or security measures; test the security of the Service other than under our security disclosure policy; resell the Service or provide it to third parties except as your Order allows; or use the Service to build a competing product. You are responsible for the agents you run and for what they do on your hosts and with your model providers. We will disable accounts on a credible legal request.

Customer data and confidentiality

You own Customer Data. You give us the rights we need to host, process and transmit it in order to provide, secure and support the Service, and for no other purpose. Our Privacy Policy explains what we collect and how long we keep it. Our Data Processing Addendum (DPA) forms part of these Terms and governs how we process personal data on your behalf as processor, including our sub-processors and where processing takes place. Each party keeps the other's non-public information confidential, uses it only for the purposes of these Terms, and discloses it only to people who need to know it and are bound by similar duties, or where the law requires it, with notice where the law allows.

Security

We protect the Service with the technical and organisational measures described in the DPA. In short: your personal note vault is end-to-end encrypted with a key derived from your passphrase on your device and never escrowed to us, and every Solo session is end-to-end encrypted under a key derived from that vault key, so we cannot read those personal notes or Solo sessions. For company accounts, secrets, team knowledge, saved agent output and session metadata are encrypted at rest under per-team keys that our custody service holds, so the Service, and therefore we, can decrypt them to index, search, stream and replay them. The DPA is the authoritative description, and nothing in these Terms extends it. You are responsible for securing your own hosts, accounts, identity provider and model-provider keys.

Fees and payment

Plans, fees, billing period and currency are as agreed in your Order or as shown on the pricing page when you subscribe. [Payment terms: invoicing, due date, taxes, late payment.] Fees are payable in advance for each billing period and are non-refundable except where these Terms or the law say otherwise. Billing details are handled by our payment processor. Your access runs under a Licence that Caldyr issues for the term you have paid for; your seats and features come from that Licence. A trial lasts for the period stated on the pricing page; when it ends, the account becomes read-only until a paid Licence is in place. You may cancel at any time; cancellation takes effect at the end of the current term.

Support

We provide support by email at team@caldyr.ai. What you get depends on your plan, as listed on the pricing page: Team includes email support with a 48-hour response target (shown there as a 48h SLA), and Enterprise support, including any 24/7 cover and a named contact, is as set out in your Order. Response targets are for a first response, not for resolution.

Availability

We aim to keep the Service available and to announce planned maintenance in advance where we can. Unless an Order signed by both parties includes a service level agreement for availability, we make no uptime commitment and no service credits apply. The managed Service runs in one location with no second region, as our Privacy Policy describes. Encrypted copies of the database backups are also kept on a separate host that we operate outside our hosting provider.

Intellectual property

We and our licensors own the Service, the software, the documentation and everything we build, including improvements. Subject to these Terms and your Order, we grant you a non-exclusive, non-transferable right to use the Service during your term and within your Licence, and, for self-hosted deployments, to install and run the software on that basis. Open-source components are licensed under their own terms.

Feedback

If you send us suggestions or other feedback about the Service, we may use them without restriction and without payment to you. We will not name you as the source without your permission.

Suspension

We may suspend all or part of your access if you breach the acceptable use rules, if your account puts the Service or others at security risk, if fees are overdue by more than [Number of days] days after we have told you, or if the law or a credible legal request requires it. Where we reasonably can, we will tell you first and limit the suspension to what is necessary, and we will restore access once the cause is resolved.

Term and termination

These Terms apply from the day you accept them until every Order has ended. Each Order runs for the term it states, and renewal is as stated in the Order. Either party may terminate for a material breach that is not remedied within 30 days of written notice, or immediately if the other party becomes insolvent. When your access ends, your Licence lapses and you must stop using the Service and, for self-hosted deployments, the software.

Data export and deletion on termination

You can export Customer Data from the Service yourself, as described in the Privacy Policy and the DPA; for anything else write to privacy@caldyr.ai. You can request erasure of the account from the Service. It takes effect after a 30-day grace period that you can cancel from the Service, and the paid period runs out without a refund. When it takes effect we remove Customer Data from our live systems at that moment and from our backups, including the encrypted copies on that separate host, within 30 days, unless the law requires us to keep it; the DPA lists what stays. After termination, the Owner or the holder of a Solo account can still export Customer Data and request erasure for 30 days; if nobody does, erasure starts automatically on day 30 and then follows the same rules. For self-hosted deployments your data stays on your infrastructure and deleting it is up to you.

Warranties and disclaimer

We will provide the Service with reasonable skill and care and substantially as described in its documentation. Apart from that, the Service is provided "as is" and, to the extent the law allows, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. AI agents and models can produce wrong, insecure or harmful output; you are responsible for reviewing what they produce and do before you rely on it.

Limitation of liability

Neither party is liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or data, even if told it could happen. Each party's total liability arising out of or in connection with these Terms is limited to [Liability cap, for example the fees paid in the 12 months before the claim]. These limits do not apply to liability that cannot be limited by law, to your obligation to pay fees, or to breaches of the acceptable use rules.

Indemnity

You will defend and indemnify us against third-party claims arising from Customer Data or from use of the Service by you or your Users in breach of these Terms. We will defend and indemnify you against third-party claims that the Service, as we provide it, infringes their intellectual property rights. The party asking for protection must tell the other promptly and let it control the defence.

Changes to these Terms

We may update these Terms. We will tell you about material changes by email or in the app at least [Notice period] before they take effect, and the "Last updated" date at the top of this page shows the current version. Sign-up records the version you accepted. If you do not agree to a change, you may stop using the Service before it takes effect; continuing to use the Service afterwards means you accept the updated Terms. A change does not alter the fees for a term you have already paid.

Governing law

These Terms and any dispute arising out of or in connection with them are governed by the law of, and subject to the exclusive jurisdiction of the courts of, [Governing law / jurisdiction]. Either party may still seek urgent injunctive relief in any competent court.
